This Privacy Policy (the “Policy”) describes the types of information that WayForth (“WayForth,” “we,” “our,” or “us”) may collect from you (“you” or “your”) or that you will provide to us when you utilize our services and products or access our website (collectively, “Services”), and our practices for collecting, using, maintaining, protecting, and disclosing that information. This Policy is incorporated by reference to our Terms of Service.  Please be advised that any move management or transportation services provided to you will also be governed by the terms and conditions or your written services agreement setting out the details of costs for such services.

By accessing our Services, you agree to the terms of this Policy.  This Policy may change from time to time.  We reserve the right to update or change our Policy at any time, and we will post any changes we make to the Policy on our website. We encourage you to periodically review this page for the most current statement of our privacy practices. Your continued use of any Services constitutes your agreement to be bound by such changes to this Policy.  Your continued use our Services after any revisions we make to this Policy constitutes your acceptance and agreement to those changes, so please review the Policy carefully and periodically check for updates.  We do not knowingly collect Personal Information from children under the age of 13. If we learn that we have collected or received Personal Information of a child under the age of 13 without parental consent, we will take steps to delete the information as soon as possible. In the course of offering our Services to you, we may collect certain information from you, such as your name, address, zip code, phone number, email address, and other information in connection with your move and your property, such as order instructions and your payment information (collectively, “Personal Information”). We collect Personal Information (a) when you provide it to us or request us to access it; (b) automatically through your use of the Services; or (c) from third parties such as business partners and affiliates.  We typically retain information you provide us in connection with our Services. You can request the deletion of your Personal information by contacting us at marketing@wayforth.com. The deletion of your Personal Information will result in the deletion of your account and termination of the Services, unless retention is necessary to comply with laws, regulations, or as a record of Services provided to you or other customers.  We do not knowingly collect Personal Information from children under the age of 13. If we learn that we have collected or received Personal Information of a child under the age of 13 without parental consent, we will take steps to delete the information as soon as possible. So that we can provide you the highest quality of service, we may from time to time disclose Personal Information to the following: our subsidiaries and affiliates; to contractors, service providers, and other third parties we use to support our business; and to other third-parties with your consent.  We may also use certain third-party vendors to assist in managing payment processing and storing payment methods and related information such as card numbers (collectively, “Payment Methods”); they are not permitted to access or use Payment Methods, except for the sole purpose of processing payments on our behalf.   In addition, we may disclose your Personal Information: (i) to comply with any court order, law or legal process, or to respond to any government or regulatory request; (ii) to enforce or apply our Terms of Service; (iii) if we believe disclosure is necessary or appropriate to protect the rights, property or safety of WayForth, our users, or others; and (iv) to fulfill the purpose for which you provided or disclosed the information to us.

As part of our Services, we may send transaction-related communications to you such as welcome emails, order confirmations, service reminders and notices, payment information, and other information related to our Services.  We may from time to time also send you marketing or promotional communications, unless you elect to opt-out of receiving such information. You can discontinue future promotional communications by following the specific unsubscribe instructions in the communications you receive.  Regardless whether you opt-out of receiving promotional communications, we reserve the right to contact you with respect to transaction-related communications, notices or changes relating to our products and services.

We may use “cookies” to enhance your experience. You may choose to set your web browser to refuse cookies, or to alert you when cookies are being sent.  If you do so, please note that some parts of the website may not function properly.

Our principal offices are located in the United States, as are our primary data storage facilities. If you access our Services from any foreign country, it is likely that any data you send us will be transferred outside of your country of origin to us. By using our Services, you consent to having your data transferred to and stored in the United States. Our Service are not currently being offered to residents outside of the United States.

Our website may contain links to other websites that are not owned or controlled by us. Please be aware that we do not determine, and we are not responsible, for the privacy practices or content of such other websites. We strongly advise you to review the privacy policy of every website you visit.

You may voluntarily provide reviews, suggestions, ideas, comments or other feedback (“Feedback”) to us about the Services including how to improve them. Even if Feedback is designated as confidential, we may use it for any purpose without obligation of any kind.

We cooperate with government and law enforcement officials to enforce and comply with the law. We will disclose any information about you to government or law enforcement officials as we believe necessary or appropriate to respond to claims and legal process, to protect the safety of the public or any person, or to prevent or stop activity we consider to be, or to pose a risk of being, illegal, unethical or legally actionable activity.

California Civil Code Section 1798.83 permits customers who are California residents to request certain information regarding our disclosure of Personal Information to third parties for their direct marketing purposes. If you are a California resident and have provided us with Personal Information within the last year, you may make such a request by emailing us at marketing@wayforth.com with the subject “California Privacy Rights.”

WayForth, Inc. (“WayForth,” “our”, “us,” or “we”) provides organization, storage and moving services for boxes, furniture and other physical property (the “Property”) to customers (“Customers”, “you”, “your” or “user”). These Terms and Conditions (”Terms and Conditions”) govern your access to and use of the WayForth website at WayForth.com and other domains and mobile applications (the “Site”) and any services listed on, offered on or accessed through our website (the “Storage Services” and collectively with the Site, the “Services”), including use of our website, move management services, or storage services. The Services also includes any other services or sites that link to these Terms and Conditions.

By using, registering for, or accessing the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If at any time you do not agree to these Terms and Conditions, please immediately terminate your use of the Services.

WayForth may, in its sole discretion, amend or modify these Terms and Conditions from time to time by posting the amended Terms and Conditions on the WayForth website. Please check these Terms and Conditions periodically for those changes. Your continued use of the Services after the posting of such changes constitutes your acceptance of the modified Agreement. WayForth may make changes to the Services at any time.

Your privacy is important to WayForth. Our collection, use and disclosure of personal information is described in our Privacy Policy (www.WayForth.com/privacy).

When using the Services, you agree to provide accurate information to us at all times and promptly update any information provided, including your current contact information (including email, physical address, and telephone number).  You are responsible for the accuracy of information you provide in connection with the Services.

You represent and warrant that you meet the following qualifications: (1) if you are an individual person, that you are at least 18 years of age and a resident of the US; (2) if you are an organization, that you are validly organized under applicable US law, and the person completing this registration is authorized to enter into contracts on the entity’s behalf; and (3) you are able to form legally binding contracts under applicable law. By connecting to WayForth through a third-party service, you give us permission to access and use your information from that service as permitted by that service. Your consent to WayForth using the email address you provide in association with your account to send you notices related to the Services, including any notices required by law. We may also use your email address to send you messages related to changes to our website or Services.

WayForth grants you limited, revocable, non-sublicensable license to access and use the Services and all content, data, information, and materials included in the Services, including content and materials belonging to other WayForth users (the “Materials”) solely for your own personal use, or if you are a commercial customer of WayForth, solely for your internal business use, subject to the terms and conditions set forth in these Terms or provided in connection with the Services. All other rights are reserved by WayForth. You agree that you will not modify, copy, distribute, resell, transmit, display, perform, reproduce, publish, license, create derivative works from, frame in another web page, or use the Services or Materials except as explicitly authorized in these Terms and Conditions. You will not use the Services or any of the Materials other than for their intended purpose or in any way that is unlawful or harms us or our users.

You agree not to engage in any of the following prohibited activities: (i) copying, distributing, or disclosing any part of the Site in any medium, including without limitation by any automated or non-automated “scraping”; (ii) using any automated system, including without limitation “robots,” “spiders,” “offline readers,” etc., to access the Site in a manner that sends more request messages to the WayForth servers than a human can reasonably produce in the same period of time by using a conventional on-line web browser; (iii) transmitting spam, chain letters, or other unsolicited email; (iv) attempting to interfere with, compromise the system integrity or security or decipher any transmissions to or from the servers running the Site; (v) taking any action that imposes, or may impose at our sole discretion an unreasonable or disproportionately large load on our infrastructure; (vi) uploading invalid data, viruses, worms, or other software agents through the Site; (vii) collecting or harvesting any personally identifiable information, including account names, from the Site; (viii) using the Site for any commercial solicitation purposes; (ix) impersonating another person or otherwise misrepresenting your affiliation with a person or entity, conducting fraud, hiding or attempting to hide your identity; (x) interfering with the proper working of the Site; (xi) accessing any content on the Site through any technology or means other than those provided or authorized by the Site; or (xii) bypassing the measures we may use to prevent or restrict access to the Site, including without limitation features that prevent or restrict use or copying of any content or enforce limitations on use of the Site or the content therein.

WayForth cares about the integrity and security of your personal information. However, we cannot guarantee that unauthorized third parties will never be able to defeat our security measures or use your personal information for improper purposes. You acknowledge that you provide your personal information at your own risk.

THIRD-PARTY SERVICES. The Site may contain links to third-party websites, advertisers, services, special offers, or other events or activities that are not owned or controlled by WayForth. In addition, certain Services may require you to use another third-party service. WayForth does not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. If you access a third-party website from the Site, you do so at your own risk, and you understand that these Terms and Conditions and WayForth’s Privacy Policy do not apply to your use of such sites and services. You agree to hold WayForth harmless from any and all liability arising from your use of any third-party website, service, or content and your dealings with any such third-party.

You agree to DEFEND, INDEMNIFY, AND HOLD HARMLESS WayForth and its subsidiaries, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Site or Services; (ii) your violation of any term of these Terms and Conditions; (iii) your violation of any third-party right, including without limitation any right of privacy or intellectual property rights; (iv) your violation of any applicable law, rule, or regulation; (v) any of your user content or Property, or any that is submitted via your account; or (vi) any other party’s access and use of the with your unique log-in credentials.

EXCEPT AS EXPRESSLY PROVIDED IN BY THE COMPANY IN WRITING, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. USE OF THE SERVICES IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM WAYFORTH OR THROUGH THE SITE OR IN CONNECTION WITH THE STORAGE SERVICES WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN. WITHOUT LIMITING THE FOREGOING, WAYFORTH, ITS SUBSIDIARIES, ITS AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT THE MATERIALS ARE ACCURATE, RELIABLE OR CORRECT; THAT THE SERVICES WILL MEET YOUR REQUIREMENTS; THAT THE SERVICES WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, UNINTERRUPTED OR SECURE; THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR THAT THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WAYFORTH DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY OR PERFORMED BY A THIRD PARTY THROUGH THE SERVICES OR ANY WEBSITE OR SERVICE HYPERLINKED TO THE SITE, AND WAYFORTH WILL NOT BE A PARTY TO OR IN ANY WAY MONITOR ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES, INCLUDING WITHOUT LIMITATION OTHER USERS OF THE SERVICES WITH WHOM YOU INTERACT. FEDERAL LAW, SOME STATES AND OTHER JURISDICTIONS DO NOT ALLOW EXCLUSIONS AND LIMITATIONS OF CERTAIN IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WAYFORTH, PROVIDERS, OR OTHER THIRD PARTIES BE LIABLE FOR ANY DIRECT, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF USE, LOSS OF PROFITS, OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE SERVICES, THE USE OF THE MATERIALS, OR THE MANNER OR MEANS BY WHICH THE SERVICES ARE PERFORMED. IN ANY EVENT, THE MAXIMUM LIABILITY OF WAYFORTH, ITS PROVIDERS AND OTHER THIRD PARTIES ARISING WITH RESPECT TO THE SERVICES OR THESE TERMS AND CONDITIONS, WHETHER UNDER CONTRACT, TORT OR ANY OTHER BASIS SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00). SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. THESE TERMS AND CONDITIONS GIVE YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE. THE DISCLAIMERS, EXCLUSIONS, AND LIMITATIONS OF LIABILITY UNDER THESE TERMS AND CONDITIONS WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

Except as expressly stated, no person, firm, group or corporation other than you and WayForth will be deemed to have acquired any rights by reason of anything contained in these Terms and Conditions.  If any provision of these Terms and Conditions are found to be invalid or limited in its force, it will be enforced to the maximum extent of the law and the remainder of the Agreement will continue in force.

All notices, requests, consents and other communications under these Terms and Conditions sent to WayForth will be in writing, addressed to WayForth, Inc., 1518 Willow Lawn Dr., Suite 300, Richmond, VA 23230, Attention: Marketing Department, or to another address as WayForth may designate in a notice; and will be either (i) delivered by hand; (ii) sent by overnight courier; or (iii) sent by registered mail, return receipt requested, postage prepaid.

These Terms and Conditions shall be construed and controlled by the laws of the State of Virginia. With respect to any claim permitted in court under these Terms and Conditions, each party further consents to exclusive jurisdiction by the courts sitting in Henrico County, Virginia for all disputes that are heard in court. In the event of any legal action between you and WayForth, the substantially prevailing party shall receive from the losing party its reasonable costs and attorney’s fees incurred in the action and in any appeal.

These Terms and Conditions and any rights and licenses granted hereunder, may not be transferred or assigned by you, in part or in whole, whether voluntarily or by operation of law, including by way of sale of assets, merger or consolidation. These Terms and Conditions may be assigned by WayForth without restriction. Any assignment attempted to be made in violation of these Terms and Conditions shall be void.

Neither party will be deemed to be an employer, employee, agent, partner or legal representative of the other for any purpose and neither will have any right, power or authority to create any obligation or responsibility on the behalf of the other.
